1 WELCOME AND INTRODUCTION

1.1 Welcome to Maison Koy Ltd (“Maison Koy”, “we,” “us,” or “our”). We’re pleased that you have accessed our website located at www.maisonkoy.com ("The Maison Koy Website”). By accessing our website or any of our services, you agree to be bound by these Terms and Conditions, Please read them carefully.

1.2 We provide visitors (as defined below) with access to the Maison Koy website, Maison Koy media platforms and any of our services subject to these Terms and Conditions. By browsing the public areas of The Maison Koy Website and/or any of the Maison Koy media platforms, you acknowledge that you have read, understood and agree to be legally bound by these Terms and Conditions, including our privacy policy, which is available on the Maison Koy Website and is hereby incorporated by reference (collectively, the “Terms and Conditions”).

1.3 If you do not agree to any of these terms, then please do not use the Maison Koy website and/or and of the Maison Koy Media platforms.

1.4 We reserve the right to review and amend any of these Terms and Conditions from time to time with or without notice to you.

1.5 Terms throughout this document shall have the meanings ascribed to them below or elsewhere in these Term and Conditions.

“Loaner”means any person loaning inventory items over The Maison Koy Website and/or any of the Maison Koy media platforms;“Inventory” or “Inventory Items”means pieces of clothing listed or otherwise made available for loan or sale over the MAISON KOY Website and/or any of the Maison Koy media platform;“Stylist”means a Maison Koy appointed Stylist whom has been enrolled into the maison koy stylist network; “Visitor”means any person accessing or making use of the MAISON KOY Website and/or any of the Maison Koy media platforms;"The Maison Koy Website and/or any of the Maison Koy media platforms"means The Maison Koy website and/or any of the Maison Koy media platforms including social media platforms, whatsapp, text or telephone channels;“Loan Fee”means the total of the loan charges listed on The Maison Koy Website for your loan of the Inventory Item;“Replacement Value”means the full value of the respective loaned inventory item at the time of purchase, as determined at the sole discretion of Maison Koy;“Clients”means any person engaging with services provided by Maison Koy in any capacity;"The Maison Koy Content"means materials, such as software, text, graphics, images, sound recordings, audio-visual works, and other materials provided by or on behalf of Maison Koy contained within The Maison Koy Website and/or any of the Maison Koy media platforms.

2 THE MAISON KOY WEBSITE AND/OR THE MAISON KOY MEDIA PLATFORMS

Description and Use

2.1 The Maison Koy Website provides Loaners with resources to facilitate the loaning of Inventory Items and use of personal styling services.

2.2 Our website lists designer Inventory Items available for loan. Once a Client has identified an Inventory Item that he or she wishes to loan, the Client can loan that Inventory Item through the Maison Koy Website and/or any of the Maison Koy media platforms.

2.4 We provide Visitors with access to The Maison Koy Website and/or any of the Maison Koy media platforms as described below.

2.5 Visitors, as the term implies, are people who visit The Maison Koy Website and/or any of the Maison Koy media platforms. Currently, there is no requirement for visitors to register in order to loan from us.

Right to use The Maison Koy Website and/or any of the Maison Koy media platforms

2.6 Subject to these Terms and Conditions, Maison Koy grants you during the term of these Terms and Conditions a non-transferable, non-exclusive right, without the right to sublicense, to access and use The Maison Koy Website and/or any of the Maison Koy media platforms for your personal use. You will not (and will not permit any third party to): (i) reverse engineer, decompile, disassemble, or otherwise attempt to discern the source code, underlying ideas, algorithms, file formats, or interface protocols of The Maison Koy Website and/or any of the Maison Koy media platforms; or (ii) introduce into The Maison Koy Website and/or any of the Maison Koy media platforms any virus, worm, “back door,” Trojan Horse, or similar harmful code. If you violate this section, Maison Koy reserves the right in its sole discretion to immediately deny you access to The Maison Koy Website and/or any of the Maison Koy media platforms, or any portion of thereof, without notice. Maison Koy reserves the right to change the availability of any feature, function, or content relating to The Maison Koy Website and/or any of the Maison Koy media platforms, at any time, without notice or liability to you.

Maison Koy Platform Rules

2.7 The Maison Koy Website and/or any of the Maison Koy media platforms functions best when its Visitors act in good faith and follow a few simple rules. By visiting, accessing and/or using The Maison Koy Website and/or any of the Maison Koy media platforms, you hereby agree to comply with the following rules:

2.7.1 You will comply with all applicable laws in your use of The Maison Koy Website and/or any of the Maison Koy media platforms and will not use The Maison Koy Website and/or any of the Maison Koy media platforms for any unlawful purpose;

2.7.2 You will not access or use The Maison Koy Website and/or any of the Maison Koy media platforms to collect any market research for a competing business;

2.7.3 You will not use any robot, spider, scraper, or other automated means to access The Maison Koy Website and/or any of the Maison Koy media platforms for any purpose without our express written permission; provided, however, we grant the operators of public search engines permission to use spiders to copy materials from the public portions of The Maison Koy Website and/or any of The Maison Koy media platforms for the sole purpose of and solely to the extent necessary for creating publicly-available searchable indices of the materials;

2.7.4 You will not interfere with or attempt to interrupt the proper operation of The Maison Koy Website and/or any of the Maison Koy media platforms through the use of any virus, device, information collection or transmission mechanism, software or routine, or access or attempt to gain access to any data, files, or passwords through hacking, password or data mining, or any other means.

2.7.5 We reserve the right, in our sole and absolute discretion, to deny any person access to The Maison Koy Website and/or any of the Maison Koy media platforms, or any portion of The Maison Koy Website and/or any of the Maison Koy media platforms, without notice.

Age Restrictions

2.8 Children under the age of 13 may not use The Maison Koy Website and parents or legal guardians may not agree to these Terms and Conditions on their behalf. Children under 18 years of age but at least 13 years of age may be Visitors and may access The Maison Koy Website and/or any of the Maison Koy media platforms under the supervision of parents or legal guardians who agree to be bound by these Terms and Conditions on their behalf, but such children may not loan or purchase any Inventory Items. If you are a parent or legal guardian agreeing to these Terms and Conditions for the benefit of a child between the ages of 13 and 18, you are fully responsible for his or her use of The Maison Koy Website and/or any of the Maison Koy media platforms and the loan or purchase of any Inventory Items, including all legal liability he or she may incur.

Intellectual Property

2.9 The Maison Koy Website and/or any of the Maison Koy media platforms contain materials, such as software, text, graphics, images, sound recordings, audio-visual works, and other materials provided by or on behalf of Maison Koy (collectively referred to as "The Maison Koy Content”). The Maison Koy Content may be owned by us or by third parties. The Maison Koy Content is protected under both United Kingdom and foreign laws. Unauthorised use of The Maison Koy Content may violate copyright, trademark, and other laws. You have no rights in, or to, The Maison Koy Content, and you will not use The Maison Koy Content except as permitted under these Terms and Conditions. No other use is permitted without prior written consent from us. You must retain all copyright and other proprietary notices contained in the original Maison Koy Content on any copy you make of The Maison Koy Content. You may not sell, transfer, assign, license, sublicense or modify The Maison Koy Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use The Maison Koy Content in any way for any public or commercial purpose. The use or posting of The Maison Koy Content on any other website or in a networked computer environment for any purpose is expressly prohibited.

2.10 If you violate any part of these Terms and Conditions, your permission to access and/or use The Maison Koy Content and The Maison Koy website and/or any of The Maison Koy media platforms automatically terminates, and you must immediately destroy any copies you have made of The Maison Koy Content.

2.11 The trademarks, service marks, and logos of Maison Koy (“Maison Koy Trademarks”) used and displayed on The Maison Koy Website and Maison Koy Platform are registered and unregistered trademarks or service marks of Maison Koy. Other company, product and service names located on The Maison Koy Website and The Maison Koy Website and/or any of the Maison Koy media platforms may be trademarks or service marks owned by others (the “Third-Party Trademarks”, and, collectively with the Maison Koy Trademarks, the “Trademarks”). Nothing on The Maison Koy Website and/or any of the Maison Koy media platforms should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use the Trademarks, without our prior written permission specific for each such use. Use of the Trademarks as part of a link to or from any site is prohibited unless establishment of such a link is approved in advance by us in writing. All goodwill generated from the use of the Maison Koy Trademarks inures to our benefit.

2.12 Elements of The Maison Koy Website and the Platform are protected by trademark, unfair competition and other laws of England and Wales (and elsewhere) and may not be copied or imitated in whole or in part, by any means, including but not limited to the use of framing or mirrors. None of The Maison Koy Content may be retransmitted without our express, written consent for each and every instance.

2.13 If you believe that your content has been copied on The Maison Koy Website and/or any of the Maison Koy media platforms in a way that constitutes copyright infringement, please provide us with notice, including (i) a description of the copyrighted work that has been infringed and the specific location on The Maison Koy Website and/or any of the Maison Koy media platforms where such work is located; (ii) a description of the location of the original or an authorised copy of the copyrighted work; (iii) your address, telephone number and e-mail address; (iv) a statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent or the law; (v) a statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on the copyright owner’s behalf; and (vi) an electronic or physical signature of the owner of the copyright or the person authorised to act on behalf of the owner of the copyright interest.External Sites

2.14 The Maison Koy Website and/or any of the Maison Koy media platforms may contain links to third-party websites (“External Sites”). These links are provided solely as a convenience to you and not as an endorsement by us of the content on such External Sites. The content of such External Sites is developed and provided by others. You should contact the site administrator for those External Sites if you have any concerns regarding such links or any content located on such External Sites. We are not responsible for the content of any linked External Sites and do not make any representations regarding the content or accuracy of materials on such External Sites. You should take precautions when downloading files from all websites to protect your computer from viruses and other destructive programs. If you decide to access linked External Sites, you do so at your own risk.

Compliance with Applicable Laws

2.15 The Maison Koy Website and The Maison Koy Website and/or any of the Maison Koy media platforms are based in the United Kingdom. We make no claims concerning whether The Maison Koy Content may be downloaded, viewed, or be appropriate for use outside of the United Kingdom. If you access The Maison Koy Website and/or any of the Maison Koy media platforms or the Maison Koy Content from outside of the United Kingdom, you do so at your own risk. Whether inside or outside of the United Kingdom, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.

Copying and Reproducing The Maison Koy Website

2.16 You are permitted to use The Maison Koy Website for your own purposes and to print and download material from this Maison Koy Website provided that you do not modify any content without our consent. Material on this website must not be republished online or offline without our permission.

2.17 The copyright and other intellectual property rights in all material on this Maison Koy Website are owned by us or our licensors and must not be reproduced without our prior consent.

2.18 Subject to specificities outlined within section 2, no part of The Maison Koy Website may be reproduced without our prior written permission.

Maison Koy Website Uptime

2.19 We take all reasonable steps to ensure that The Maison Koy Website is available 24 hours every day, 365 days per year. However, websites do sometimes encounter downtime due to server and other technical issues. We will not be liable if this website is unavailable at any time.

2.20 The Maison Koy Website may be temporarily unavailable due to issues such as system failure, maintenance or repair or for reasons beyond our control. Where possible we will try to give Visitors advance warning of maintenance issues but shall not be obliged to do so.

3 TERMS AND CONDITIONS APPLICABLE TO CLIENTS

A GENERAL

Age Restrictions

3.1 Inventory items may be loaned or purchased by adults aged 18 or older for use by individuals under 18 years of age, however Maison Koy only loan and sell directly to adults aged 18 or older, who may loan or purchase Inventory Items with a payment card or other approved payment method. By agreeing to these Terms and Conditions, you hereby agree that you are 18 years or older and that you are authorised to use the chosen payment method (including, without limitation, credit cards) for the purpose of loaning or purchasing the Inventory Items as described in these Terms and Conditions.

Order Limits

3.2 You acknowledge and agree that we may place limits on the loan or purchase of Inventory Items, including but not limited to restricting orders to a single client account, payment card or billing or shipping address. We reserve the right to limit, cancel or prohibit any loan or sales of Inventory Items for any reason at our sole discretion, including but not limited to availability and geographic boundaries.

Delivery

3.3 All deliveries will be through Maison Koy’s delivery partner, which may change from time to time at our discretion. We will, through The Maison Koy Website and/or any of The Maison Koy media platforms, through our delivery partner or otherwise, provide you with information about estimated delivery and arrival times of Inventory Items.

Making Payments via Stripe

3.4 Payments for Inventory Items will be made via Stripe. For users of Stripe, the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (available here https://stripe.com/gb/legal) (together "The Stripe Services Agreement”) is applicable to you and by accepting these Terms and Conditions you are agreeing to be bound by the Stripe Services Agreement as well. By agreeing to make a payment via Stripe, you represent and warrant to us that any details and information you provide to us are neither fraudulent nor inaccurate and you authorise us to share such details and information with Stripe.

Non-Payment

3.5 If you do not pay the amounts you owe to us when due, then we may need to institute collection procedures. You agree to pay our costs of collection, including without limitation reasonable legal fees.

Phone Orders

3.6 Orders for loans and purchases may be made over the phone using the contact number listed on our website. For such orders, you will need to we may request your information, which may include your personal data, for the sole purpose of securing your transaction with us. Your personal data will be handled in accordance with applicable data protection law at all times.

B LOANS

3.7 The following additional conditions apply to Loaners for the loan of any Inventory Item:

Loan Fee

3.8 Loan Fee (“Loan Fee”) = total of the loan charges listed on The Maison Koy Website for your loan of the Inventory Item. When you place your loan order for an Inventory Item, you hereby authorise us (or our payment services provider) to charge your payment card for the Loan Fee. We will charge your payment card the amount of the Loan Fee immediately upon your loan order. A reservation of an Inventory Item on The Maison Koy Website is an order for the loan of that Inventory Item, regardless of how far in advance that Inventory Item is reserved.

3.9 In addition, you hereby authorise us (or our payment services provider) to, charge your payment card for an amount equal to 100% of the original replacement market value (when new – as paid at time of purchase) of the Inventory Item (the “Replacement Value”) at the sole discretion of the Maison Koy, to cover the cost of any irreparable damage to an inventory item. You should not place a loan order for an Inventory Item unless you have sufficient funds in the account to which the payment card relates to cover the Replacement Value as well as the Loan Fee. We reserve the right (and you hereby authorise us to) charge your payment card for any amount up to the Replacement Value of the Inventory Item at any time where such amount is due and payable under these Terms and Conditions.

Cancellation Policy

3.10 The below terms are only applicable where inventory items are returned in the same good condition in which they arrived with you. Inventory items must be returned without security tags having been removed or tampered with in any way. No refund or credit note will be provided in the event that we determine (at our sole discretion) that security tags have been removed or tampered with in any way.

3.11 Cancellations must be made at least five business days before your loan order is due to arrive with you (day one of your loan period) for a full refund to be provided.

3.12 For Cancellations made later than five business days before your loan order is due to arrive with you (day one of your loan period), and before the maker has taken the piece away to be adjusted; We must be notified by email/whatsapp/telephone (contact details as provided on The Maison Koy Website) and we will reimburse you with 50% refund – 50% credit note. If your piece has already arrived with you, we will arrange for collection of the respective piece the same day. You will be charged a daily rate late fee for every day that the piece is not returned to us past day one of your loan period.

3.13 Where cancellations are made after the maker has taken the piece away to be adjusted, or after day one of your loan period (where no fitting appointment held), no refund will be provided. All cancellation requests should be made by email/whatsapp/telephone (contact details as provided on The Maison Koy Website).

Delivery / Delivery Addresses

3.14 Loaned pieces will be delivered to your specified delivery address (defined below) on day one of your loan period. All orders must be made before 6pm on the prior business day before either; a) day one of your loan period, or; b) (where a fitting appointment is required) the seamstress is required to arrive with you (two business days prior to day one of your loan period). The date on which we expect to deliver a loaned Inventory Item to your specified delivery Address will be set out in the online invoice for your loan order (the “Expected Delivery Date”).

3.15 Upon delivery, you bear full responsibility for the Inventory Item until it is collected from you by our delivery partner.

3.16 You acknowledge that a Secure Shipping Address is required. A “Secure Shipping Address” means a location where an individual can physically receive Inventory Item(s). If an un-secure shipping address is provided, Maison Koy does not bear liability for Inventory Items left unattended. Furthermore, you acknowledge that providing anything other than a Secure Shipping Address may result in delivery delays and additional delivery fees for which Maison Koy will not be liable. You will be liable for all such delays and additional delivery fees. We will not deliver Inventory Items (or any correspondence) to PO Box addresses in the United Kingdom.

Use of the Inventory Items

3.17 Our inventory items will be inspected, cleaned to a high standard, and delivered to you in a ready-to-wear state, While we will clean and inspect each Inventory Item we send to you, use of the Inventory Item will is at your own risk and Maison Koy shall not be held liable for any health-related complaints associated with any Inventory Items.

3.18 You agree to treat your loaned Inventory Item with the utmost care and to return it to Maison Koy in the same good condition as it was in when you received it. You agree that you shall not allow any other individual to wear or use loaned Inventory Items in any way and that you are responsible for loss, destruction, theft and/or damage to the Inventory Item, other than normal wear and tear. Normal wear and tear encompasses minor repairable damage, including minor stains, minor threading, missing beads/buttons, stuck zippers or other minor damage. For any Inventory Items that you return damaged beyond normal wear and tear, you agree that we shall charge you, and you shall pay, for the price for repairing or replacing the Inventory Item, as determined at the discretion of Maison Koy, up to the full Replacement Value for the Inventory Item (on top of any applicable Loan Fees).

Return of Inventory Items

3.19 Your loan period will commence on the Expected Delivery Date and will last for the period you have agreed with Maison Koy at the time of loan. The last day of this period is referred to as the “Return Date”. The Return Date for each loaned Inventory Item will be set out in the online invoice for the loan order. We will collect the item from the specified collection address on the return date. You agree that you remain fully responsible for the inventory item until the item is collected by Maison Koy’s delivery partner.

3.20 the Inventory Item will be delivered to you in a Maison Koy branded box containing an invoice, return instructions and a headed work request form from our wet-cleaning partner. This form is solely for the use of the seamstress that visits you to conduct your fitting appointment, where applicable. At the end of your loan period, you agree to pack the loaned inventory item within the branded box that the item arrived in, along with the completed work request form (where a fitting appointment has been held), ready for collection from your specified collection address by our delivery partner.

3.21 Maison Koy are not responsible for any personal or other items left inside Inventory Items or which are returned to Maison Koy by mistake within Return Packaging. If you believe you have accidentally or otherwise sent us any such items, please contact us as soon as possible via email/whatsapp/telephone (contact details as provided on The Maison Koy Website). We will endeavour to locate and return such items but are not obligated to and assume no liability for doing so.

Extensions

3.22 Should you wish to keep your loaned inventory item for longer than agreed, You may contact us to request an extension to your loan period for an Inventory Item by phone (contact details listed on the Maison Koy Website). Providing that the respective inventory item is available for loan for the requested extension period, we may grant your extension request for some or all of the requested extension period, at our sole discretion.

Late Fees

3.23 If you return an Inventory Item late, a daily rental fee of an amount corresponding to the respective inventory item will apply for each late day that the inventory item is kept past the agreed return date, up to the maximum value of the original RRP of the loaned piece (the ‘replacement value’) as determined by Maison Koy. The total late fee will be charged to the payment card you used to pay your original loan fee. The daily late fee is applicable to every individual inventory item that Is returned late. If you have not returned an Inventory Item within seven (7) days after the Return Date for the respective Inventory Item, your late return will be considered a non-return and Maison Koy will charge to your payment card the Replacement Value of the Inventory Item, less any late fees that you have already paid (but in addition to any Loan Fees).

Maximum Charges

3.24 Maison Koy will not charge you for more than an amount equal to 100% of the Replacement Value plus the Loan Fee for any charges arising under this Section. If you pay Maison Koy an amount equal to 100% of the Replacement Value, plus any applicable Loan Fees, and you still possess the Inventory Item, the Inventory Item is yours to keep, though on an “as is” basis without warranty of any kind. For the avoidance of doubt, the limitations of this clause shall not apply to the Loan Fee, which is charged separately from, and in addition to, any other charges payable by you pursuant to this Section.

Limited Warranties

3.25 The following are the limited warranties Maison Koy provides in connection with Inventory Item loans. Maison Koy’s liability to you for failure to comply with any of these warranties is limited to timely delivery of an Inventory Item conforming to the warranties or a refund of the Loan Fee (excluding delivery charges) as determined by Maison Koy.

3.25.1 Clean and Ready to Wear. The Inventory Items will be cleaned and delivered ready to wear. While Maison Koy cleans and inspects each Inventory Item with the utmost care, any use of the Inventory Item is at your own risk and Maison Koy shall not be held liable for any health-related complaints associated with any Inventory Item.

3.25.2 Sizing Returns. If your Inventory Item does not fit you, then you may contact Maison Koy within 12 hours (excluding Sundays and public holidays) of the date you received the Inventory Item by contacting us via email/whatsapp/telephone (contact details as provided on the Maison Koy Website) and we will collect the Inventory Item from your specified collection location within 24 hours of first sizing return notification. All loan returns will be issued as credit to the account purchased on so long as the Inventory Item, determined at our sole discretion, has not been worn.

C COMPLIMENTARY FITTING APPOINTMENTS

3.26 Selected inventory items will be eligible for complimentary fitting appointments, as shown on the respective Maison Koy website product page. Complimentary fitting appointments, where offered, will be optional and can be added as an additional service as part of your loan order.

3.27 Fitting appointments must take place at least two days prior to day one of your loan period. Please consider this when selecting your loan reservation dates. We will contact you using your personal details provided at checkout to arrange a fitting appointment at your convenience. The delivery address provided at checkout will be taken as your preferred fitting appointment location, unless otherwise stated when we contact you.

3.28 Where a complimentary fitting appointment is added to your order, the loaned inventory item will be sent to your specified fitting appointment location on the morning of your fitting appointment date. Your designated seamstress will arrive at your fitting appointment location at the agreed fitting appointment time. Our seamstress will work with you to try the loaned inventory item on and agree what reversible alterations can be made to ensure the item fits you as best as possible.

3.29 At the end of your fitting appointment, our seamstress will take your loaned inventory piece away with them to make the agreed reversible alterations and will courier the loaned inventory item back to you in time for day one of your scheduled loan period. You are responsible for the loaned inventory item under the terms set out within this document, as soon as the loaned inventory item is delivered back to you at the delivery address as provided at checkout.

3.30 In the event that your designated seamstress arrives with you and it is decided that no reversible alterations are required, you may keep the loaned inventory item with you until the end of your loan period at no extra cost.3.31 fitting Appointment cancellations must be made as soon as possible by email/whatsapp/telephone (contact details as provided on the Maison Koy website).

4 NO WARRANTIES/LIMITATION OF LIABILITY

4.1 None of the Maison Koy Parties has any responsibility or liability with respect to any good(s) you loan from us or any results caused by using such good(s), including, without limitation, any death, or bodily injury you may suffer, including any health related issues.

4.2 The Maison Koy Website and/or any of the Maison Koy Media Platforms, and the Maison Koy Content are provided on an "as is" and "as available" basis without any warranties of any kind, save as expressly set out in these terms and conditions. We disclaim all warranties, including but not limited to, the warranty of title, merchantability, on-infringement of third parties' rights, and fitness for particular purpose, and any warranties arising from a course of dealing, course of performance, or usage of trade.

5 TERMINATION OF THESE TERMS AND CONDITIONS

5.1 We reserve the right, in our sole discretion, to restrict, suspend, or terminate these Terms and Conditions and your access to all or any part of The Maison Koy Website and/or any of the Maison Koy media platforms, at any time and for any reason without prior notice or liability. Notwithstanding the termination of these Terms and Conditions, the following provisions shall remain in full force and effect:

6 COMMUNICATIONS

Communications to Us

6.1 Although we encourage you to e-mail us, we do not want you to, and you should not, e-mail us any content that contains confidential information. Services are limited, and will be provided, only to clients with a nominated Delivery Address/Postcode within 5 miles of Centre of London (Charles I statue; WC2N 5DU). You may not use any Maison Koy services outside of this boundary. Use of the MAISON KOY Website and/or any of the Maison Koy media platforms is at your own risk, and you must comply with all applicable laws, rules, and regulations in doing so. We may limit the Service’s availability at any time, in whole or in part, to any person, geographic area or jurisdiction that we choose.
